GBR Autocare Ltd – Credit Account Terms & Conditions

These terms apply to business-to-business credit accounts supplied by GBR Autocare Ltd (“GBR Autocare”, “we”, “us” or “our”). By signing the credit application, the applicant (“Customer”, “you” or “your”) agrees to these terms.

1. Credit approval and credit limit

All credit facilities are subject to approval. We may carry out reasonable credit checks and seek trade references. Any credit limit approved by us is discretionary and may be increased, reduced, suspended or withdrawn following review of the account, payment history or credit risk.

2. Payment terms

Unless agreed otherwise in writing, invoices are payable on 30 days end-of-month terms. Payment is due 30 days after the end of the calendar month in which the invoice is dated.

3. Seven-day administrative grace period

We will normally allow 7 calendar days after the contractual due date before actively applying or pursuing late-payment charges or taking credit-control action. This grace period does not change the contractual due date or waive any statutory rights.

4. Late payment

If an invoice remains unpaid after its due date, we reserve all rights available under the Late Payment of Commercial Debts (Interest) Act 1998 and related regulations. Where applicable, this may include statutory interest, statutory fixed compensation and reasonable additional recovery costs recoverable by law.

5. Suspension of supply and withdrawal of credit

Where an account becomes overdue, exceeds its credit limit, or we reasonably consider there to be increased credit risk, we may place the account on hold, suspend deliveries, require payment in advance, reduce the credit limit or withdraw the credit facility.

6. Disputed invoices

Any genuine invoice query should be raised promptly with our accounts team. An undisputed part of an invoice remains payable in accordance with the agreed payment terms.

7. Retention of title

Title to goods supplied by GBR Autocare Ltd remains with us until we have received payment in full for those goods. The Customer must take reasonable care of goods for which title has not yet passed.

8. Recovery of sums due

We may take reasonable steps to recover overdue sums, including referral to a debt-recovery provider, solicitor or court where appropriate. The Customer will be responsible for recovery costs that are lawfully recoverable.

9. Account information

The Customer must notify us promptly of material changes to its legal name, ownership, addresses, accounts contact details or financial circumstances that may affect the account.

10. No waiver

If we allow extra time for payment, waive a charge on one occasion or delay exercising a right, that does not prevent us from exercising our rights later or in relation to another invoice.

11. Variation and closure

We may update credit-account procedures or close a credit facility on reasonable notice where appropriate. Changes to contractual terms will be communicated to the Customer in accordance with applicable law.

12. Data and privacy

Application information may be used to assess the application, administer the account, prevent fraud, carry out credit or reference checks, collect sums due and manage the commercial relationship. Personal data will be handled in accordance with our privacy policy and applicable law.

13. Governing law

These terms are governed by the law of England and Wales and, subject to mandatory legal rights, the courts of England and Wales will have jurisdiction.

14. Authority to sign

The person signing confirms they are authorised to bind the applicant business to these terms and that the information provided is complete and accurate to the best of their knowledge.
